Carlos Raúl Vizquerra

Partner

Partner that co-directs the corporate merger and acquisitions area and the oil and gas area. Attorney specialized in corporate law with experience in merger and acquisitions processes, and in sales and acquisitions of companies. Additionally, he specializes in oil and gas matters related to the exploration and exploitation of hydrocarbons, negotiating license agreements for the exploration and exploitation of hydrocarbons; joint operating agreements, farm-in, farm-out agreements, among others. Likewise, he has experience providing legal advice on financing and the stock market. He has participated in privatization processes.

He was part of the visiting lawyers’ program of Sullivan & Cromwell LLP in New York (2007-2008). He is a member of the board of directors in his capacity as an independent director.

Elizabeth Nima

Partner

Partner in charge of the tax law area. Attorney specialized in tax law with experience in tax planning and consulting related to the application of excise taxes, income tax, temporary tax on net assets (ITAN), regulatory contributions and municipal taxes, with main emphasis on the hydrocarbons, mining, energy, pharmaceutical, agro-industrial, concrete, general warehouses and logistics operators, construction, industrial, fund transfer companies and services sectors.

In addition, she has experience providing consulting on and handling tax administration audit processes and verification processes initiated by tax administrations such as the Superintendency of Customs and Tax Administration (SUNAT), the Supervisory Body for Investment in Energy and Mining (OSINERGMIN) and the Agency for Environmental Assessment and Enforcement (OEFA); including contentious tax proceedings followed in administrative and judicial proceedings, as well as in non-contentious proceedings.

She has written many publications regarding topics of her specialization, some of the notable among them being “Tax Credit – Accounting and Tax Application” (2019) – Editorial Gaceta Jurídica, “How SUNAT audits” (2016) – Editorial Gaceta Jurídica and “Practical Approach of the Tax Sanctions Regime” (2013) –Editorial Gaceta Jurídica.

Shirley Gamarra

Partner

Partner in charge of the administrative and environmental areas. Attorney specialized in environmental and regulatory law, with experience in planning for the execution of projects, including the obtaining of permits, authorizations, and licenses required for the different industrial activities, such as hydrocarbons, energy, mining, agricultural, and other activities.

Furthermore, she has experience in legal defense before disciplinary administrative proceedings in environmental and/or regulatory matters initiated by the Agency for Environmental Assessment and Enforcement (OEFA), the Supervisory Body for Investment in Energy and Mining (OSINERGMIN), the General Bureau of Environmental Health (DIGESA), the General Bureau for Medicines, Drugs and Medical Supplies (DIGEMID), municipalities, among others.

She has authored various publications about the topics of her specialization, such as “The need to respect tax limits in the creation of taxes that regulate water resources,” an article in Gaceta Constitucional, Volume 34, November 2012, “Illicit placer mining and its regulation under the protection of the constitutional rule-of-law,” an article in Normas Legales de Gaceta, Volume 226, September 2012, and the “The process of citizen participation in the hydrocarbons subsector,” an article in Normas Legales de Gaceta, Volume 204, November 2010.

She was the head of the energy audit team of the Environmental Audit Bureau of the Agency for Environmental Assessment and Enforcement – OEFA (2013) and Analyst at the Court of Appeals and Sanctions on Energy and Mining Issues TASTEM – OSINERGMIN (2008 – 2009).

Claudia Arias

Associate

Member of the corporate merger and acquisitions area and the finance area. Attorney specialized in financial law, stock market and corporate law, with experience in corporate planning, acquisition of companies, due diligence, structuring of securities, incorporation and obtaining of authorizations, and fulfilment of obligations of companies regulated by the Peruvian Superintendency of Banking, Insurance and Pension Fund Management Companies (AFP) and Peruvian Securities and Exchange Commission; project financing through financial institutions and multilateral organizations, capital markets and investment funds.

Member of the staff of professors of the Finance and Corporate Law magister program at Universidad - ESAN.

Before joining our law firm, she was senior associate of the finance law and stock market area at DLA PIPER PERÚ (2014 – 2016) and associate in the corporate area of the same law firm (2011–2014). José Carlos Colona

Associate

Head of the labor area. Attorney specialized in labor law (individual and collective) and social security with experience in judicial labor and administrative labor proceedings before the Ministry of Labor and Employment Promotion, the National Superintendency for Labor Audits (SUNAFIL), and the Peruvian Social Security Institute (ESSALUD)..

He advices on labor hiring, intermediation and outsourcing of services, individual and collective terminations, occupational health and safety and special labor regimes.

He has experience in planning and preparation of remuneration policies and salary bands, implementation of prevention procedure; investigation and punishment of sexual harassment at work, and prevention of labor disputes.

Before joining our law firm, he was associate of the labor area in Estudio Roselló Abogados (2012 – 2016). Likewise, he was Head of Division in the Sub-Management of Civil, Labor and Constitutional Proceedings of Essalud – Judicial Affairs Management (2011–2012).

Suehelen Espinoza

She is a professor of the Tax Law course in the accounting program of the University Careers Program for People with Work Experience (CPEL) of Universidad San Ignacio de Loyola (USIL).

Before joining our law firm, she was a member of Afisca Consultores S.A.C. (2012–2015). She also worked as a Professional in Room 8 and the Technical Office of the Tax Court (2010–2012), as well as a Tax Advisor at SUNAT (2004-2008/2009-2010).
